Description Of NAMI NH And Content

NAMI NH is a grassroots mental health organization working to improve the quality of life for all by providing support, education and advocacy for people affected by mental illness and suicide. Comprised of a network of affiliate chapters and support groups, staff and volunteers, NAMI NH provides information, education and support to all families and communities affected by mental illness and suicide.

Through our support and education networks, NAMI NH provides opportunities for people, in a safe and comfortable setting, to share each other’s pain and promote hope. Together we are working hard to build a better tomorrow for our loved ones and for ourselves.

The Content provided by NAMI NH provides visitors with access to a variety of information and resources, including, but not limited to, works of authorship, e-newsletters, blogs, submitted materials, extended profile content, submitted materials, educational presentations, speaker program materials, documentation, media, packaging, text, multi-media, audio files, illustrations, discussion groups, websites, bulletin boards, news, videos, user content, and other relevant content (collectively, the “Content”). Occasionally, some of this Content is licensed for specific use (hereinafter, the “Licensed Materials”).

Permitted Uses of Licensed Materials
Licensee shall have the right to use the Licensed Materials in connection with Licensee’s business, but only with NAMI NH’s prior written approval and in strict compliance with such license and the policies, instructions, and guidelines of NAMI NH.

NAMI NH’s Rights; Copyright Notices and Markings
Licensee acknowledges NAMI NH’s exclusive copyright in the Licensed Materials, and that the Licensed Materials are protected under United States copyright laws and international treaty provisions. Licensee acknowledges NAMI NH’s exclusive right, title, and interest in and to the Licensed Materials and Licensee shall mark the Licensed Materials and any advertising or promotional material utilizing or reproducing any Licensed Materials in such manner as to preserve and protect all rights of NAMI NH therein. Nothing contained in this Agreement shall be construed as conveying to Licensee any right, title, or interest in or to any of the Licensed Materials other than an express right to a permissive use thereof in connection with [description of permitted uses]. Licensee will include the following notice on any printed, electronic, online or packaged version of the Licensed Materials, in any form whatsoever:

Duty to Register Licensed Materials
Where (a) Licensee will not commence the use of the Licensed Materials until it has taken all actions and obtained all registrations in the Territory which are required of copyright licensees, copyright users, or which NAMI NH otherwise deems desirable, including without limitation registration as a registered user, and Licensee will immediately cease all such use if any such registration at any time ceases to be fully valid and effective. Licensee will take such actions and obtain such registrations diligently and at its own expense, and will provide NAMI NH with copies of all applications and other documents upon filing them and copies of all registrations upon receiving them.

(b) Licensee may seek registration of the Licensed Materials in the Territory only with NAMI NH’s prior written consent. Any such applications shall be made in NAMI NH’s name, and Licensee will cause any applications or registrations which are not in NAMI NH’s name to be transferred to NAMI NH. Licensee shall register the Licensed Materials in the Territory in NAMI NH’s name at Licensee’s expense.

Protection of Licensed Materials
Licensee shall cooperate to the fullest extent possible with NAMI NH in its sole discretion may consider necessary to protect any of the Licensed Materials. Licensee will fully cooperate with NAMI NH in maintaining and defending the ownership and validity of each of the Licensed Materials against infringement and claims of infringement. Licensee will promptly notify NAMI NH of (i) any infringement or unauthorized use of any Licensed Materials by any third party of (ii) any assertion by any third party that Licensee’s use of any Licensed Materials shall not be obligated to initiate or defend legal action with respect to any Licensed Materials, and Licensee shall not initiate or defend any such action itself without NAMI NH’s prior written consent.

Use of Licensed Materials in Licensee’s Tradename
Licensee hereby agrees and warrants that Licensee will not incorporate all or any portion of the Licensed Materials into Licensee’s corporate name or tradenames.

Licensee’s Actions Affecting Validity of Licensed Materials
NAMI NH and Licensee each agree that Licensee will not do any act which it knows, or it is notified by NAMI NH, may affect the validity of any of the Licensed Materials.
 
Prior Approval by NAMI NH
All advertising and promotional material which may be used by Licensee utilizing or referencing the Licensed Materials herein shall be submitted by Licensee to NAMI NH for NAMI NH’s approval or disapproval prior to any release thereof by Licensee. All advertising brochures and illustrations identifying NAMI NH or the Licensed Materials, or direct quotations attributed to NAMI NH or its employees, shall likewise be subject to approval or disapproval by the NAMI NH. If such approval or disapproval is not received by Licensee within 30 days after receipt of such material by NAMI NH, such material shall be considered disapproved. Once approval has been obtained, further approval of the same material need not be obtained for future or repeat use, but all such material shall be consistent with the maintenance of the excellent reputation of NAMI NH. If Licensee shall give notice of disapproval of any such material, Licensee shall not use or distribute such publicity or advertising material.

Other Sources
For any information contained on the NAMI NH website that is attributed to another source, permission to reproduce must be obtained from the original source. Use of any robot, spider, other automatic device or manual process to monitor or copy the Website or any of its content and "mirroring" the Website or any content on any other server is prohibited unless prior written permission is obtained from NAMI NH.

Stock photos used on this Website are not meant to indicate any particular attitude or opinion on the part of those whose images are being used and are not intended to indicate an endorsement by the subjects.

Refrain from transmitting any message, information, data, or text that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, that may be invasive of another 's privacy, hateful, or bashing communications - especially those aimed at gender, race, color, sexual orientation, national origin, religious views or disability.

NAMI NH reserves the right to remove or edit a post containing offensive material as defined by NAMI NH. That stated, NAMI NH does not have the practical ability to restrict conduct or communications prior to transmission and posting, nor can NAMI NH ensure prompt editing or deletion of offensive posts.

NAMI NH reserves the right to remove or edit posts that contain explicit, obscene, offensive, or vulgar language. Similarly, posts that contain any graphic files will be removed immediately upon notice.

2. Refrain from posting or transmitting any unsolicited, promotional materials, "junk mail," "spam," "chain mail," "pyramid schemes" or any other form of solicitation. NAMI NH reserves the right to delete these posts immediately upon notice.

3. NAMI NH invites and encourages a healthy exchange of opinions. If you disagree with a participant 's post or opinion and wish to challenge it, do so with respect. The real objective of the NAMI NH message board is to promote discussion and understanding, not to convince others that your opinion is "right." Name calling, insults, and personal attacks are not appropriate and will not be tolerated. NAMI NH will remove these posts immediately upon notice.

4. NAMI NH promotes privacy and encourages participants to keep personal information such as address and telephone number from being posted. Similarly, do not ask for personal information from other participants. Message board posts that request participants submit personal information to another party will be removed immediately upon notice unless these posts have been pre-approved by NAMI NH staff. This includes, but is not limited to, communications that ask for telephone, address, e-mail, surveys and research studies.

5. Participants should be aware that the opinions, beliefs and statements posted in this forum do not necessarily represent the opinions and beliefs of NAMI NH. Participants also agree that NAMI NH is not to be held liable for any loss or injury caused, in whole or in part, by sponsorship of this message board. Participants also agree that NAMI NH reserves the right to report any suspicions of harm to self or others as evidenced by participant posts.

6. Posting off-topic messages to discussion groups will result in removal of and the possible suspension of posting privileges.

7. NAMI NH members or staff who post non-public information on public areas of the site or off-topic messages in member-only discussion areas may have their posting privileges suspended and will be subject to appropriate corrective action.

1. In order to procure Services on this Website and to use certain other parts of the System, you are required to create an Account which will contain certain personal details and Payment Information which may vary based upon your use of the Website as We may not require payment information until you wish to make a purchase. Termination and Cancellation of Accounts
1. Either NAMI New Hampshire or you may terminate your Account. If We terminate your Account, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, We reserve the right to terminate without giving reasons.

2. If We terminate your Account, any current or pending orders or payments on your Account will be cancelled and provision of Services will not commence.

Conduct
In addition to any other restrictions or conditions of use, you hereby acknowledge, and represent and warrant, that your use of the Website, including any prayer requests or submissions - will not be, or alleged to be:
1. unlawful, unauthorized, fraudulent or malicious in purpose;

2. false, offensive, abusive, libelous, hateful, defamatory, obscene, racist, sexually explicit, ethnically or culturally offensive, indecent, pornographic;

User Content Submissions
NAMI NH encourages you and other users to contribute content to this Website including, without limitation, videos and textual narratives that share your stories of hope for people with mental illness and associated comments thereto ("User Content"). NAMI NH reserves the right to review and edit or delete any such User Content.  When you view User Content and comments submitted by other users, keep in mind that such User Content may not necessarily represent your own view or the view of NAMI NH. While NAMI NH encourages User Content that is supportive and helpful, through your use of the Services, you may be exposed to User Content that you may find offensive, objectionable, harmful, inaccurate or deceptive. You assume all associated risks.

Your User Content
You understand that when you submit User Content, you are granting NAMI NH a license to display the User Content on the Website, in connection with our services, or otherwise as set forth in these Terms of Use, and, whether or not your User Content is published on the Website, NAMI NH guarantees no confidentiality or anonymity with respect to your User Content. While you don 't have to include your name, your likeness, or any other specific information in the User Content you submit, if your video or other User Content conveys your name, your likeness, (or other identifying information in the background of your video) you understand and agree that this information may be displayed on the NAMI NH Website along with your User Content. Accordingly, please review your User Content carefully prior to submission to ensure it contains no information that you are not comfortable sharing. However, by submitting your User Content to the NAMI NH Website, you grant NAMI NH a worldwide, perpetual, irrevocable non-exclusive, royalty-free, sub-licensable through multiple tiers, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, commercialize, and otherwise exercise all rights in and to the User Content in any media formats and through any media channels now known or hereinafter invented or discovered for any purpose consistent with the mission and vision of NAMI NH. Such license includes all rights and permissions to reproduce your likeness, name and any other personal information that you choose to submit as a part of the User Content. You also grant each user of the Website or our services a non-exclusive license to access your User Content, and to use, reproduce, distribute, display, link to and perform such User Content as permitted under these Terms of Use. NAMI NH reserves the right to monitor User Content and to remove or decline to post any User Content at any time, for any reason (or for no reason), without notice and at its sole discretion, including, without limitation, if it determines that User Content is inappropriate or fails to comply with these Terms. NAMI NH has no responsibility for the backup of any of any User Content or any lost data resulting from the use, operation or discontinuation of any aspect of the Services.

Submitted Materials
NAMI NH does not wish to receive any confidential, proprietary, or trade secret information from you via the Website (including via contact email made available on the Website). Accordingly, if you send NAMI NH any information or creative works including, without limitation, idea submissions, suggestions, business plans, concepts or demos in any media including photographs, graphics, audiovisual media or other material ("Submitted Material") you grant NAMI NH a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive, and fully transferrable, assignable, and sub-licensable right and license to use, copy, reproduce, modify, adapt, print, publish, translate, create derivative works from, create collective works from, and distribute, perform, display, license and sublicense (through multiple levels) the Submitted Material in any media now known or hereinafter invented, including for commercial purposes. If you send NAMI NH any Submitted Material you also warrant that the Submitted Material is not confidential or secret and that the Submitted Material is owned entirely by you. If you send NAMI NH any Submitted Material you warrant that you have all rights necessary (including rights of privacy and rights of publicity) to authorize NAMI NH to use Submitted Material as permitted by the license in this Section.

Extended Profile Content And Image Submissions
You understand that when you submit Extended Profile content or images, you are granting NAMI NH a license to display the content or image in connection with the Services or otherwise as set forth in these Terms of Use. By submitting your content to the NAMI NH website, you grant NAMI NH a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sub-licensable through multiple tiers, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, commercialize, and otherwise exercise all rights in and to the content in any media formats and through any media channels now known or hereinafter invented or discovered for any purpose consistent with the mission and vision of NAMI NH. Such license includes all rights and permissions to reproduce your likeness, name and any other personal information that you choose to submit as a part of the content. You also grant each user of the Services a non-exclusive license to access your content through the Service, and to use, reproduce, distribute, display, link to and perform such content as permitted through the functionality of the Services and under these Terms of Use. NAMI NH reserves the right to monitor content and to remove or decline to post any content at any time, for any reason (or for no reason), without notice and at its sole discretion, including, without limitation, if it determines that content is inappropriate or fails to comply with these Terms. NAMI NH has no responsibility for the backup of any of any content or any lost data resulting from the use, operation or discontinuation of any aspect of the Services.
You also warrant that the content, including images, is not confidential or secret and that the content or image is owned entirely by you. You warrant that you have all rights necessary (including rights of privacy and rights of publicity) to authorize NAMI NH to use content and images as permitted by the license in this Section.

Extended Profile Content Disclaimer
You understand that content included in the Extended Profile are not necessarily those of NAMI NH or endorsed by NAMI NH. You agree that you will hold harmless NAMI NH and its officers, directors, employees and volunteers from all claims arising out of or related to your access or use of, or your inability to access or use, an extended profile page. You also agree that NAMI NH or the contributors of information to the extended profile page shall NOT be liable to you or anyone else for any decision made or action taken by you in reliance on information provided on the NAMI NH Web site or for any consequential, special or similar damages, even if advised of the possibility of such damages.

Payments And Payments Processing; Rules For All Payments

You can make an online donation to NAMI NH. NAMI NH has engaged the services of third party payment service provider(s) to process all donation/payment transactions. NAMI NH is not affiliated with any such third party payment service provider(s), and neither is the agent or employee of the other, and NAMI NH is not responsible in any way for the actions or performance (or lack thereof) of such third party payment service provider(s).  Accordingly, NAMI NH expressly disclaims responsibility and liability for all payment processor services, and you hereby agree that NAMI NH shall not be responsible for any loss or damage of any sort incurred as a result of such services. We allow you to organize and run fundraising events.  In order to do so, you must register online, complete an application, and adhere to a variety of requirements, rules and standards.   While we make good-faith efforts to support you in your effort to organize and run an NAMI NH event, we do not guarantee that you will be able to do so, nor do we make any assurances as to the success of such event.

Services, Pricing and Availability
1. Whilst every effort has been made to ensure that all general descriptions of Services available from NAMI New Hampshire correspond to the actual Services that will be provided to you, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on your individual requirements and circumstances. This does not exclude Our liability for mistakes due to negligence on Our part and refers only to variations of the correct Services, not different Services altogether.

2. Where appropriate, you may be required to select the required Plan of Services.

3. We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website.

4. All pricing information on the Website is correct at the time of going online. We reserve the right to change prices and alter or remove any special offers from time to time and as necessary.

5. In the event that prices are changed during the period between an order being placed for Services and Us processing that order and taking payment, then the price that was valid at the time of the order shall be used.

Orders and Provision of Services
1. No part of this Website constitutes a contractual offer capable of acceptance. Your order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending to you an order confirmation email. 2.2 Fully itemized pricing for the Services ordered including, where appropriate, taxes, delivery and other additional charges;
2.3 Relevant times and dates for the provision of the Services;
2.4 User credentials and relevant information for accessing those services.

3. If We, for any reason, do not accept your order, no payment shall be taken under normal circumstances. In any event, any sums paid by you in relation to that order will be refunded within 14 calendar days.

4. Payment for the Services shall be taken via your chosen payment method, immediately for any setup fee that corresponds to the service plan you purchased and at the same day of each subsequent month (“billing cycle”) for charges accrued during the previous month (“billing cycle”) AND/OR as indicated in the order confirmation you received.

5. We aim to fulfill your Order within 2-3 working days or if not, within a reasonable period following your Order, unless there are exceptional circumstances. If we cannot fulfill your Order within a reasonable period, we will inform you at the time you place the Order by a note on the relevant web page or by contacting you directly after you place your Order. Time is not of the essence of the Contract, which means we will aim to fulfill your Order within any agreed timescales but this is not an essential term of the Contract and we will not be liable to you if we do not do so. If the Services are to begin within 14 calendar days of Our acceptance of your order, at your express request, you will be required to expressly acknowledge that your statutory cancellation rights will be affected.

6. NAMI New Hampshire shall use all Our reasonable endeavors to provide the Services with reasonable skill and care, commensurate with best trade practice.
